By accessing or using UptimeMatrix ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.
These Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.
We reserve the right to update, change, or replace any part of these Terms by posting updates and changes to our website. It is your responsibility to check this page periodically for changes.

UptimeMatrix provides website monitoring, uptime tracking, SSL certificate monitoring, server monitoring, API monitoring, and related services ("Service"). The Service includes:
- Website and endpoint uptime monitoring
- Performance metrics and analytics
- Alert notifications via multiple channels
- Status page hosting
- API access for integration
- Historical data and reporting
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.
3. User Accounts
3.1 Account Creation
To access certain features of the Service, you must register for an account. You agree to:

5. Payment Terms
5.1 Subscription Plans
Our Service is offered on a subscription basis. By subscribing to a paid plan, you agree to:
- Pay all fees associated with your selected plan
- Automatic renewal unless cancelled
- Price changes with 30 days notice
- No refunds for partial billing periods
5.2 Billing
Fees are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for all fees. If payment fails, we may suspend or terminate your account.
5.3 Refunds
We offer a 30-day money-back guarantee for new subscriptions. Refunds are processed within 14 business days. No refunds are provided for renewals or upgrades.
6. Intellectual Property

The Service and its original content, features, and functionality are owned by UptimeMatrix and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
6.2 Your Content
You retain ownership of any content you submit to the Service. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and distribute your content solely for providing the Service.
6.3 Restrictions
You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software.
7. Termination
7.1 By You
You may terminate your account at any time by canceling your subscription through your account settings or contacting support. Upon termination, your access to the Service will cease immediately.
7.2 By Us
We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.
7.3 Effect of Termination
Upon termination, your right to use the Service will immediately cease. We may delete your account and data after a reasonable period, subject to our data retention policies.
8. Warranties & Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that:
- The Service will be uninterrupted or error-free
- Defects will be corrected
- The Service is free of viruses or other harmful components
- The results obtained from using the Service will be accurate or reliable
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL UPTIMEMATRIX, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES.
Our total liability to you for all claims arising from or related to the use of the Service shall not exceed the amount you paid to us in the twelve (12) months prior to the claim, or one hundred dollars ($100), whichever is greater.
This limitation applies regardless of the legal theory on which the claim is based, including contract, tort, negligence, strict liability, or any other theory.
10. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.
What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
If you do not agree to the new terms, please stop using the Service.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the appropriate courts of Wyoming.
